Notessa: CRE Tech Built by Subject Matter Experts

Most commercial real estate software is built by people who have never closed a deal, read an intercreditor agreement at midnight, or navigated a restructuring that unfolds over five years. Notessa was built by people who have.

Notessa’s parent company, BridgeRock Capital, is a New York-based commercial real estate investment firm co-founded by Notessa CEO Jin Kim. A January 2024 interview with Kim in The Korea Herald offers a glimpse into the real-world investment experience and expertise behind the product.

A market under stress

The interview came at a difficult moment for U.S. office owners and their lenders. Higher interest rates and remote work had pushed New York City’s office vacancy above 20 percent, property values had fallen, and loans sized in a low-rate world could not be refinanced at the same amount. Korean institutions, which had invested billions of dollars in U.S. commercial real estate loans and equity over the prior decade, were among those exposed, often through mezzanine positions caught between borrowers unwilling to put in more capital and senior lenders threatening to foreclose.

The discipline of a workout

Kim, a Yale-trained lawyer and former Goldman Sachs banker, had worked in the bank’s Special Assets Group, which was set up after the 2008 financial crisis to work out roughly $15 billion of legacy commercial real estate assets. He laid out the three paths for a defaulted loan: foreclose and take the property, sell the loan in the secondary market, or restructure it with the borrower. BridgeRock specializes in the third.

A workout, he explained, demands more than a financial model. It takes capital markets knowledge, a read on property fundamentals, legal judgment, and a feel for how borrowers and institutions actually behave, all of it learned by living with the outcomes of earlier restructurings years after the ink dried. As Kim put it, “even what seems like a small, innocuous provision” can change the result.

Why that matters for Notessa

That observation is the founding insight behind Notessa. The answers that decide a workout, a refinancing, or an acquisition live in the documents: the loan agreement and every amendment, the intercreditor agreement, the JV and preferred equity agreements, the estoppels and payoff letters. Finding the provision that matters, tracing a defined term across a chain of amendments, and knowing exactly what sits ahead of your position is slow, manual, and risky when done by hand.

Notessa was built to make that work fast and verifiable, and it was proven inside BridgeRock first: the BridgeRock team used Notessa on its own deals and workouts before the product was made commercially available. It maps document relationships and amendment chains, makes every defined term traceable to its source, pulls the capital stack and its payment priorities straight from the deal documents, and grounds every AI answer in a clickable citation to the original text. It is built for law firms, lenders, investors, and asset managers by people who have sat in each of those seats.
